General terms and conditions

1. Order Fulfilment
Full payment for the services you request must be received before the Supplier is obligated to fulfil the order. Your payment constitutes an offer to purchase those services. A service agreement between you (the Client) and the Supplier will only be formed once we issue written confirmation (such as by email) that the Supplier has accepted your booking. Until that confirmation is provided, no binding agreement exists.
2. Acknowledgement of your order of services
In order for us to process your booking, you must provide a valid and current email address. Upon receipt of your order, we will send you an acknowledgement email confirming that your request has been received and setting out the details of your order. For clarity, this acknowledgement does not constitute legal acceptance of your order, and it does not form a binding contract. A contract will only be created once we confirm the Supplier’s acceptance of your booking in writing.
3. Ownership of rights
All rights, including copyright, in this website are owned by or licensed to The Wed Collective Ltd. Any use of this website or its contents, including copying or storing it or them in whole or part, other than for your own personal, non-commercial use, is prohibited without our permission. You may not modify, distribute or repost anything on this website for any purpose.
4. Accuracy of content
We have taken care in the preparation of the content of this website, in particular to ensure that prices quoted are correct at the time of publishing and that all services have been described accurately.
5. Damage to your computer
We try to ensure that this website is free from viruses or defects. However, we cannot guarantee that your use of this website or any websites accessible through it will not cause damage to your computer. It is your responsibility to ensure

that the right equipment is available to use the website. Except in the case of negligence on our part, we will not be liable to any person for any loss or damage which may arise to computer equipment as a result of using this website.
6. Availability
The services will be provided within an agreed timescale with suppliers. In terms of physical products, the products will be provided within an agreed timescale, and time is not of the essence of the contract.
7. Price
The prices payable for services that you order are as set out on our website. All prices are inclusive of VAT at the current rates and are correct at the time of entering information.
8. Payment terms
We will take payment upon receipt of your order from your credit or debit card. We accept no liability if our services are delayed because you did not give us the correct payment details. If it is not possible to obtain full payment for the services from you, then we can refuse to process your order and/or suspend any further services. This does not affect any other rights we may have.
Cancellation rights
9. Supplier Cancellation
9.1 In the event that a Supplier cancels a confirmed booking, any payments that have been collected by The Wed Collective Ltd on the Supplier’s behalf will be refunded in full to the Client. In such cases, the Supplier is required to return any funds received to The Wed Collective Ltd via the original payment method. The Wed Collective Ltd will, where possible, assist the Client in sourcing a suitable replacement Supplier for the event.
9.2 To avoid penalty and disruption to the Client, the Supplier must provide written notice of cancellation to both The Wed Collective Ltd and the Client no later than 90 days prior to the scheduled event date. For bookings made less than 90 days before the event date, the Supplier must notify both The Wed Collective Ltd and the Client of cancellation within 24 hours of confirming the booking.
9.3 Failure to notify The Wed Collective Ltd and the Client within the required timeframes may result in the Supplier being suspended or permanently removed from the platform. Additionally, the Supplier must forfeit and return any funds previously disbursed by The Wed Collective Ltd within 72 hours of cancellation. This includes any advance payments or deposits that had been issued. Failure to comply may result in recovery action.
10. Client Cancellation
10.1 We understand that plans can change, and we kindly request that you notify us as early as possible if you intend to cancel a booking. When you make a booking via The Wed Collective Ltd platform, you will be presented with the Supplier’s cancellation and refund policy, which forms part of your agreement with the Supplier. By proceeding with the booking, you agree to abide by the terms of that policy.
10.2 If you cancel your booking, any non-refundable payments already collected by The Wed Collective Ltd on behalf of the Supplier prior to the date of cancellation will be retained, in accordance with the Supplier’s stated cancellation terms.
10.3 In the event of a cancellation initiated by the Client, The Wed Collective Ltd reserves the right to prohibit the submission of a review for that Supplier, as no service has been fulfilled.
11. Cancellation by us
11.1 In the unlikely event The Wed Collective Ltd has to remove a Supplier from our platform, you will be notified within 24 hours, and the appropriate steps for replacement will be taken.

13. Liability
13.1 In no event shall The Wed Collective Ltd be liable for any losses, damages or negligence on the Suppliers behalf, please refer to the Suppliers terms and conditions.
13.2 Furthermore, we do not accept liability for any losses related to any business of yours including but not limited to: lost data, lost profits, lost revenues or business interruption.
13.3 In the event of any dispute arising between users of the site, or between a user and any third party (including, but not limited to, Suppliers), you acknowledge and agree that The Wed Collective Ltd is under no obligation to become involved in such disputes. By using the site and our services, you agree to release and hold harmless The Wed Collective Ltd, including its directors, officers, employees, and agents, from any and all claims, demands, losses, liabilities, damages, or expenses - whether known or unknown, suspected or unsuspected, disclosed or undisclosed - which may arise from or be connected to any such dispute or interaction with other users or third parties in relation to the site or services
14. Notices
Unless otherwise expressly stated in these terms and conditions, all notices from you to us must be in writing and sent to our contact address at hello@thewedcollective.co.uk and all notices from us to you will be displayed on our website from time to time.
15. Changes to legal notices
We reserve the right to change these terms and conditions from time to time and you should look through them as often as possible.
16. Law, jurisdiction and language
This website, any content contained therein and any contract brought into being as a result of usage of this website are governed by and construed in accordance with English law. Parties to any such contract agree to submit to the exclusive jurisdiction of the courts of England and Wales. All contracts are concluded in English.
17. Invalidity
If any part of these terms and conditions is unenforceable (including any provision in which we exclude our liability to you) the enforceability of any other part of these conditions will not be affected.
18. Privacy
You acknowledge and agree to be bound by the terms of our Privacy Statement.
19. Third party rights
Except as expressly provided in this Agreement, a person who is not a party to this Agreement shall have no right under the Contracts (Rights of Third Parties) Act 1999 to enforce any of its terms. This shall not affect any right or remedy of a third party which exists or is available apart from that Act.
20. Terms of Use
As a condition of your use of the site, you agree that:
20.1 You confirm that you have the legal capacity to enter into a binding contract.
20.2 You are not legally restricted or prohibited from purchasing products or services available through the site.
20.3 You shall not create an account in the name of another person or entity, create multiple accounts, use another person’s account without authorisation, or impersonate any individual or entity.
20.4 You are responsible for ensuring that any information you submit through the site is accurate, true, current, and complete (including but not limited to availability dates, pricing, and contact details).
20.5 You must promptly update and correct any outdated or incorrect information associated with your account. Failure to do so may result in the suspension or termination of your account.
20.6 You agree not to harass, defame, stalk, abuse, intimidate, misrepresent, mislead, threaten, or otherwise violate the legal rights of any individual, including but not limited to other users, Suppliers, The Wed Collective Ltd, and its employees. This includes rights related to privacy, confidentiality, and reputation.
20.7 You shall not use the site for any unlawful purpose or any activity that is prohibited under these Terms of Use, including soliciting or facilitating illegal activities or activities that infringe upon the rights of others.
20.8 You shall not use the sites for sending unsolicited communications, spam, or any other disruptive activity.
20.9 You must not engage in any unauthorised use of the site, including but not limited to using web crawlers, scraping tools, data mining, extraction tools, or any similar automated functionality to access, collect, or extract information from the sites.
20.10 You must not encourage, facilitate, or engage in any conduct designed to bypass the sites for the purpose of avoiding compliance with these Terms of Use, avoiding platform fees, or circumventing contractual obligations between clients and suppliers.
20.11 Your use of the site must always comply with these Terms of Use.
20.12 Any purchases made or participation in available programs on the site must be conducted through an authorised account and using the supplier communication tools provided. All transactions are subject to these Terms of Use.
20.13 You confirm that all purchases or transactions made via the sites are legitimate and fully compliant with the terms of the respective offers.
20.14 It is the client’s responsibility to adhere to payment schedules and communicate in accordance with the supplier’s terms and conditions. The Wed Collective Ltd shall not be held responsible for any loss of booking due to the client’s failure to make payments on time.
20.15 The Wed Collective Ltd shall not be liable for any loss of data resulting from technical malfunctions, system failures, or other unforeseen circumstances. Users are responsible for maintaining backup copies of any important data, including booking details, communications, and payment records.
20.16 The Wed Collective Ltd reserves the right, at its sole discretion, to refuse access to the site or its services to any user, at any time, for any reason. You acknowledge that there may be interruptions or disruptions to the site, services, or account access due to factors within or beyond our control.
21. Registration with The Wed Collective Ltd
21.1 To register with The Wed Collective Ltd, you must confirm your acceptance of these Terms of Use by checking the relevant box and providing accurate contact and identification details. You are responsible for maintaining the confidentiality of your account credentials, including your password, and for all activity that occurs under your account. You agree to notify us immediately of any unauthorised use of your account or any breach of security.
21.2 You must promptly inform The Wed Collective Ltd of any actual or suspected unauthorised use of your account or any other security incident affecting the site. We will not be liable for any loss or damage resulting from your failure to safeguard your account information or comply with this clause. You may cancel your account at any time by contacting us at hello@thewedcollective.co.uk.
21.3 The Wed Collective Ltd reserves the right, at its sole discretion, to suspend or terminate your account and/or restrict your access to the site or services at any time and without prior notice, where we reasonably believe such action
is necessary (for example, due to a breach of these Terms of Use, fraudulent activity, or misuse of the platform). Any such decision will be made in accordance with applicable laws.
22. Contract between Suppliers & Clients
22.1 Upon a confirmed booking via the Sites, a legally binding Service Agreement is deemed to be formed directly between the Client and the Supplier. The Wed Collective Ltd is not a party to this Service Agreement and acts solely as an independent facilitator providing an online marketplace and management system through which Clients and Suppliers may connect, communicate, and transact.
22.2 The role of The Wed Collective Ltd is strictly limited to the following:

Facilitating the listing and promotion of Supplier services to potential Clients;
Providing a platform through which bookings can be requested, confirmed, and managed;
Assisting Clients in staying organised through tools and reminders available via the Sites;
Acting as a limited payment collection agent on behalf of the Supplier, via an authorised third-party payment processor, for the purpose of collecting fees from Clients.

22.3 Suppliers are independent service providers who are solely responsible for the delivery, quality, and performance of their services. The Wed Collective Ltd does not provide or endorse any of the services offered by Suppliers and does not participate in or influence the negotiation, formation, or execution of any contract or agreement between the Client and the Supplier beyond facilitating the initial booking.
22.4 Each Supplier may issue their own separate, legally binding contract to the Client, and any such agreement shall govern the Supplier's provision of services. The Wed Collective Ltd is not responsible for, and shall not be held liable for, the contents of any such contract or the acts, omissions, or performance (or non-performance) of either the Supplier or the Client under that contract.
22.5 For the avoidance of doubt, all services are provided solely by the Supplier, and The Wed Collective Ltd accepts no responsibility or liability for how any service is delivered, any failure to provide the service, or any dispute arising in connection with a Service Agreement.
22.6 Clients and Suppliers agree to notify The Wed Collective Ltd of any disputes at hello@thewedcollective.co.uk and prior to the negotiation of or filing of any claims and to negotiate any dispute informally via The Wed Collective Ltd representatives for at least thirty (30) days before initiating any proceeding. The Wed Collective Ltd reserves the right to suspend or terminate any account pending the resolution of any dispute.
23. Physical product purchases
23.1 If you purchase a physical product through the site that requires delivery by The Wed Collective Ltd or a Supplier, the item will be dispatched to the delivery address provided by you at the time of checkout. It is your responsibility to ensure that the delivery address entered is accurate and complete. Neither The Wed Collective Ltd nor the Supplier shall be liable for any loss, delay, or failure in delivery resulting from an incorrect or incomplete address provided by you. In such cases, no replacement, refund, or re-shipment shall be required.
23.2 The Wed Collective Ltd reserves the right, in its absolute discretion, to decline to process or to cancel any order. If your order is cancelled or not processed, you will not be charged, or where payment has already been made, a full refund will be issued to you.
23.3 The Wed Collective Ltd does not accept or process refund requests from Clients on behalf of Suppliers. Refunds, where applicable, will be handled by the Supplier directly, in accordance with the Supplier’s own terms and conditions. Each request will be reviewed on a case-by-case basis.
23.4 The Wed Collective Ltd makes every reasonable effort to ensure that product and service descriptions provided on the site are accurate. However, no warranty, representation, or guarantee is given that such descriptions are entirely accurate, complete, current, reliable, or free from error. You acknowledge that minor variations may occur.
23.5 The Wed Collective Ltd endeavours to provide accurate and up-to-date pricing information for all experiences, products, and services available on the site. However, errors in pricing may occasionally occur. In the event that a product or service is incorrectly priced, The Wed Collective Ltd reserves the right, at its sole discretion, to cancel or
decline any orders placed at the incorrect price. In such cases, you will be notified by email, and any payment made will be refunded in full.
24. Fees
24.1 There are no minimum fees for clients to join our Site. Clients and Suppliers will be required to provide their payment method details to the Payment Processor. The Client shall pay the Supplier for the services agreed upon in the Service Agreement through the Payment Processor on the Sites at the rates agreed to by the Client and Supplier in the Service Agreement for the deposit and final balances.
24.2 Suppliers are required to pay applicable fees, which may change from time to time subject only to your right to terminate in accordance with our Terms of Use. The Wed Collective Ltd's fee schedule is here:
25 Commissions
25.1 At The Wed Collective Ltd, our goal is to support the growth of your business while helping engaged couples save time and reduce stress during their wedding planning journey. In order to maintain and improve the platform, provide a secure booking and management system, and offer marketing services to Suppliers, The Wed Collective Ltd charges a commission of 10% on each confirmed booking made through the platform.
25.2 This commission is deducted from the total amount payable to the Supplier at the time of payment processing and is allocated as follows:

7% is retained by The Wed Collective Ltd as a platform fee to support the operation, development, and marketing of the Sites and related services;
3% is applied to cover transaction processing fees charged by Stripe, our secure, third-party payment processor.

25.3 All commission fees are inclusive of any applicable taxes (including VAT, where relevant) and are deducted automatically from the booking payment prior to disbursement to the Supplier. By using our platform and accepting bookings through The Wed Collective Ltd, Suppliers agree to this commission structure and authorise the deduction of such amounts from each transaction.
26. Payments and Deposits
26.1 As a Supplier, you decide how much of a deposit you require from a Client at the time of booking (no more than 50% of total payment will be allowed for a deposit payment), your cancellation policy, and your frequency of payment collection.
26.2 Bookings made more than 90 days prior to the event date, the total payment shall be divided into three (3) instalments as follows: A deposit payment due at the time of booking. A middle instalment, calculated based on an agreed-upon intermediate date. The final payment, due no later than seven (7) days prior to the event date.
26.3 Bookings Within 90 Days: If a booking is made within 90 days of the event date, payment shall be divided into two (2) instalments: A deposit, not exceeding fifty percent (50%) of the total balance, payable at the time of booking. The remaining balance, due no later than seven (7) days prior to the event date.
26.4 Bookings Within 30 Days: If a booking is made within 30 days of the event date, full payment shall be required at the time of booking.

The Wed Collective Ltd will charge the Client as per the schedule. You will then receive payment, less our fees.
26.6
You can determine how strict or flexible you’d like to be with your cancellation policy.
26.7 The Wed Collective Ltd may send payment reminders via email to Clients. If a client does not pay on time, we will endeavour to remind Clients that payment is overdue. If a client fails to make a payment, it is down to you to refer to your own Terms & Conditions to decide whether that booking will continue. Previous payments will be non-refundable.
